CONDIZIONI GENERALI DI CONTRATTO PER IL SERVIZIO STARTBASE FIERAMESSE
della Società FIERA BOLZANO SPA (di seguito anche “Fiera Bolzano”), con sede a 39100 Bolzano in Piazza Fiera 1, Cod.Fisc. e P.IVA IT00098110216, nella persona del Direttore Dott. Thomas Mur.
PREMESSO CHE
che Fiera Bolzano gestisce il servizio “Startbase Fieramesse”;
che Fiera Bolzano dispone di un apposito spazio presso l’unità immobiliare C.C. 652, P.ed. 3988, Sub. 12 sita al livello 0 all’interno del Centro Servizi di Fiera Bolzano in 39100 Bolzano, Piazza Fiera 1, ove fornisce servizi inerenti e connessi all’utilizzazione di uffici e postazioni di lavoro in uno spazio comune (modalità di “coworking”), sala riunione ed altri servizi funzionali ad attività imprenditoriali e professionali;
che questi servizi si rivolgono a singoli professionisti, organizzazioni ed associazioni, aziende;
che è interesse di volta in volta di uno di questi soggetti (di seguito anche “Cliente”) usufruire dei summenzionati servizi per lo svolgimento della propria attività professionale, per un periodo di tempo limitato, alle condizioni di seguito indicate.
Art. 1 Premesse.
Le premesse costituiscono parte integrante e sostanziale del presente contratto.
Art. 2 Descrizione e profili di prezzo dei servizi.

*La Meeting Room (capacità massima di 8 persone) è utilizzabile solo su prenotazione e in base alla disponibilità, anche da Clienti di altri Startbase appartenenti al coordinamento IDM. Ulteriori ore fuori dai contingenti previsti dai singoli profili sono prenotabili on-line solo a pagamento (€ 15/all’ora) sul sito https://fieramesse.startbase.it per ogni cliente e profilo il massimo giornaliero consentito è di 3 ore. Fiera Bolzano si riserva in ogni momento di chiudere temporaneamente la Sala Riunioni in caso di abusi o utilizzo della stessa come ufficio da parte di uno o più Clienti.
**Ogni Cliente può eseguire stampe o fotocopie per un massimo di 50 fogli totali giornalieri.
***Per accedere al servizio, ogni cliente verrà dotato di un proprio profilo con login e password, dietro presentazione di un documento d’identità valido.
Corrente elettrica, riscaldamento, WC, kitchen, condizionatore e pulizie sono incluse per tutti i profili di prezzo: il parcheggio auto sul tetto del padiglione fieristico è gratuito, mentre durante le fiere ha un costo di 1,5 Euro/h. Sono a disposizione degli armadietti di sicurezza fino ad esaurimento della disponibilità.
Il presente Contratto per la prestazione di servizi tra Fiera Bolzano e il Cliente si perfeziona successivamente alla registrazione del Cliente sul sito https://fieramesse.startbase.it tramite il sistema Cobot e la scelta vincolante di uno dei Servizi di cui sopra, ma in ogni caso non prima che Fiera Bolzano abbia inviato al Cliente una conferma d’ordine separata. La registrazione comporta l’iscrizione alla Community Startbase Alto Adige-Südtirol (coordinata da IDM Südtirol Alto Adige) in qualità di Startbase Member.
Art. 3 Prezzo del servizio e modalità di pagamento.
Il pagamento integrale di quanto dovuto contestualmente alla registrazione sul sito https://fieramesse.startbase.it tramite il sistema Cobot – ovvero l’importo della prima mensilità per i profili FixDeskLarge e FixDesk e l’intero importo per i profili Wilddesk, FlexDesk e Meeting Room – costituisce condizione per poter accedere agli spazi Startbase Fieramesse e ad usufruire di una o più postazioni di lavoro. Il mancato tempestivo pagamento equivale a rinuncia e legittima Fiera Bolzano a disporre immediatamente della/e postazioni di lavoro pattuita/e. Anche la consegna della chiave di cui all’Art. 6 avverrà unicamente in seguito al tempestivo pagamento del prezzo pattuito. La fatturazione da parte di Fiera Bolzano avverrà a pagamento avvenuto.
Per ogni mese successivo al primo per i profili FixDesk Large e FlexDesk il prezzo intero dovrà essere pagato in anticipo entro il giorno 5 di ogni mese. Scaduto inutilmente il termine per il pagamento del corrispettivo dovuto, decorreranno gli interessi di mora ai sensi del D.lgs. 9 ottobre 2002, n. 231. Il Cliente è tenuto al pagamento del corrispettivo pattuito indipendentemente da eventuali eccezioni e contestazioni relative al contratto.
Art. 4 Durata.
La durata della fornitura del servizio viene scelta dal Cliente all’atto della registrazione di cui all’Art.3, entro i limiti posti da Fiera Bolzano e in base alla disponibilità. Per i profili Fix Desk Large e Fix Desk la durata minima è di 1 mese (da 28 a 31 giorni, a seconda del mese corrente) e quella massima di 12 mesi. Per il profilo Flex Desk i day pass acquistati con il pacchetto a scalare possono essere utilizzati entro 12 mesi dall’acquisto
Eventuali disdette scritte da entrambe le parti devono pervenire almeno 20 giorni della data in cui si intende interrompere il rapporto di servizio, in caso contrario la disdetta non potrà essere accettata. Ai fini di effettuare una disdetta valida, il Cliente accetta che un’eventuale disdetta sia recapitata all’indirizzo e-mail indicato dal Cliente all’atto della registrazione (o come modificato dal Cliente successivamente).
Art. 5 Natura e causa del rapporto contrattuale.
Le parti si danno reciprocamente atto che intendono sottoscrivere un contratto con causa unitaria, secondo lo schema disciplinato dall’art. 1677 c.c. (Appalto di servizi).
Il Cliente prende atto che Fiera Bolzano è un’impresa la cui attività principale consiste nell’organizzare manifestazioni fieristiche ed eventi. Fra le attività collaterali fornisce verso corrispettivo anche la serie di servizi indicati all’Art. 2 del presente contratto.
Resta escluso che l’attività di Fiera Bolzano riferita allo spazio Startbase Fieramesse possa configurarsi quale attività di intermediazione, altresì resta escluso che il rapporto in essere possa essere qualificato in termini di lavoro subordinato. Inoltre, in considerazione della natura dei servizi, resta escluso che il rapporto giuridico in essere abbia natura di contratto di locazione, ancorché atipico, anche in considerazione del fatto che il diritto ad utilizzare gli spazi viene concesso strumentalmente al fine di usufruire dei servizi erogati da Fiera Bolzano. Causa la natura del rapporto contrattuale il presente contratto non è soggetto a registrazione.
Art. 6 Modalità e utilizzo dei servizi.
Il Cliente dichiara di aver visitato gli spazi e la specifica postazione di lavoro (solo per i profili FixDesk Large e FixDesk) e di averli trovati di pieno gradimento.
Startbase Fieramesse è dotato di serratura. La relativa chiave può essere ritirata esclusivamente dal Cliente presso gli uffici di Fiera Bolzano dopo l’avvenuto pagamento del primo corrispettivo di cui all’Art. 2.
Il Cliente potrà accedere liberamente allo spazio Startbase, nei giorni prescelti in base al profilo e alla registrazione, da lunedì a venerdì dalle 8:00 alle 20:00, esclusi sabato, domenica e le festività ufficiali. Sono escluse le eventuali giornate festive che dovessero essere comprese in una certa manifestazione.
L’assistenza per i servizi di cui all’Art. 2 è garantita invece solamente nei giorni e durante l’orario di apertura degli uffici di Fiera Bolzano. L’orario d’ufficio è 9:00-12:00 e 14:00-17:00, da lunedì a venerdì. Il Cliente dovrà informarsi personalmente presso Fiera Bolzano in merito alle date di chiusura aziendale, che riguardano comunque tutte le festività ufficiali.
Il Cliente si impegna a lasciare spente, nell’orario di chiusura degli uffici, le macchine da ufficio e qualsiasi dispositivo, messogli a disposizione da Fiera Bolzano o di sua proprietà. In caso d’inottemperanza il personale di Fiera Bolzano è autorizzato a interrompere la fornitura di energia elettrica.
Il Cliente si impegna a lasciare libere e pulite da oggetti la Sala Riunioni e lo spazio Kitchen dopo ogni utilizzo.
Non è consentito al Cliente lasciare in custodia presso Startbase Fieramesse beni e documenti di valore rilevante.
L’uso degli armadietti di sicurezza è libero per il Cliente e avviene fino ad esaurimento degli armadietti disponibili, senza possibilità di prenotazione. Il Cliente è tenuto a custodire la chiave e a utilizzare l’armadietto con diligenza. Lo smarrimento della chiave da parte del Cliente, comporta il pagamento di una penale di € 50,00 a Fiera Bolzano. Il Cliente solleva Fiera Bolzano da qualsiasi responsabilità in merito allo stato del materiale contenuto negli armadietti, sia in caso di danneggiamento, furto o l’introduzione negli stessi da parte del Cliente di sostanze o oggetti illegali.
Il Cliente non potrà, per nessun motivo, stabilire il proprio domicilio e/o indirizzo legale e/o operativo e/o commerciale nei locali oggetto del presente contratto (qualora non sia attivato il servizio di domiciliazione legale).
Fiera Bolzano non ritira, in nome e per conto del Cliente, le comunicazioni inviate per posta, comprese le raccomandate, gli atti giudiziari, fiscali e legali e altri documenti indirizzati al Cliente (qualora non sia attivato il servizio di domiciliazione legale).
Domiciliazione legale: il servizio può essere attivato solo per contratti di media durata (> 6 mesi) e costa 50 euro + IVA al mese.
Con l'attivazione del servizio, il Cliente può utilizzare l'indirizzo "Piazza Fiera 1 - 39100 Bolzano" per l'iscrizione della sede legale alla Camera di Commercio, per la comunicazione dell'apertura della sede legale all'Agenzia delle Entrate, per la ricezione delle comunicazioni (commerciali, fiscali, fatture) a mezzo posta, che vengono ritirate da Fiera Bolzano e che il Cliente deve ritirare alla reception.
Fiera Bolzano, tramite la direzione ed il personale di servizio, si riserva la facoltà di accedere in qualsiasi momento a tutti gli spazi di lavoro ed uffici (compresi gli armadietti di sicurezza, delle cui chiavi possiede una copia) per controllare lo stato dei locali ed effettuare controlli, riparazioni, pulizie e manutenzioni.
I locali, le suppellettili, gli arredi e gli impianti ricevuti in uso dal Cliente sono di esclusiva proprietà di Fiera Bolzano e devono essere utilizzati con la massima diligenza tenuto conto dell’uso cui essi sono destinati e non devono essere né asportati, né danneggiati, né modificati. Ogni danno verrà messo in conto al responsabile.
Il Cliente si impegna a non destinare il proprio spazio di lavoro a scopi differenti da quelli concordati.
Infine, il Cliente si impegna a non utilizzare l’accesso internet messo a disposizione per i seguenti scopi:
a. pubblicare comunicazioni commerciali non autorizzate (ad es. spam);
b. intraprendere azioni di marketing multilivello illegali, come schemi piramidali;
c. caricare virus o altri codici dannosi;
d. pubblicare contenuti minatori, pornografici, con incitazioni all'odio o alla violenza o con immagini di nudo o di violenza esplicita o gratuita;
e. sviluppare o gestire app di terzi con contenuti relativi all'alcool, a servizi di incontri o comunque rivolti a un pubblico adulto (comprese le pubblicità) senza indicare le dovute restrizioni di età;
f. scopi illegali, ingannevoli, malevoli o discriminatori;
g. intraprendere azioni che possano impedire, sovraccaricare o compromettere il corretto funzionamento della linea internet;
h. in generale, scopi illegali o lesivi del buon nome di Fiera Bolzano.
Art. 7 Assicurazione.
In ogni caso, il Cliente è obbligato a chiedere autorizzazione a Fiera Bolzano prima di installare nella sua postazione di lavoro proprie apparecchiature, personal computer e stampanti. L’obbligo di provvedere alla copertura assicurativa per furto e rischio incendi e danni al Cliente e a terzi (ritenendo incluso nel concetto di terzo anche Fiera Bolzano stessa) derivanti dalle macchine, attrezzature ecc. proprie del Cliente, resta ad integrale carico del Cliente.
Art. 8 Divieto di cessione.
Le parti convengono che la prestazione dei servizi oggetto del presente contratto è strettamente riservata al Cliente, titolare del contratto. È fatto perciò divieto al Cliente di cedere ad altri, a qualsiasi titolo, in tutto o in parte il contratto e le relative prestazioni e/o ogni eventuale diritto nascente, connesso o dipendente dallo stesso.
Art. 9 Riservatezza.
Fiera Bolzano si impegna a non divulgare in alcun modo notizie concernenti l’attività del Cliente e ad operare in modo da garantire, per quanto possibile, la massima riservatezza. Premesso questo, il Cliente accetta ed è consapevole del fatto che in un ambiente di lavoro in uno spazio comune “coworking” è possibile che egli venga a conoscenza di informazioni riservate di altri clienti, ovvero, altri clienti vengano a conoscenza di informazioni riservate del Cliente.
Art. 10 Clausola risolutiva espressa.
Fiera Bolzano può risolvere il presente contratto senza necessità di preavviso alcuno e con effetto immediato per i seguenti inadempimenti imputabili al Cliente (art. 1456 c.c.):
a. l’omissione e/o il rifiuto di comunicare eventuali variazioni relative alle informazioni di denominazione, sede e oltre dati;
b. l’esercizio di attività contrarie alle leggi, ai regolamenti, al buon costume e all’ordine pubblico, o comunque diverse da quelle dichiarate o che possano creare discredito all’immagine di Fiera Bolzano contestato dalle Autorità competenti;
c. l’introduzione e l’uso non autorizzato di macchinari, impianti ed attrezzature di sua proprietà, connesse alle reti di servizi;
d. l’esposizione di Fiera Bolzano al rischio di pignoramento e/o di qualsiasi ulteriore azione giudiziaria, nell’ipotesi in cui quest’ultimo ricevesse ingiunzioni di pagamento e/o subisse azioni esecutive per fatti imputabili al Cliente;
e. violazione del divieto di cessione;
f. ritardo nel pagamento del prezzo del servizio per più di 5 giorni lavorativi rispetto al giorno 5 di ogni mese (fatto salvo il primo pagamento contestuale alla registrazione di cui all’Art. 3).
g. indicazione della sede legale e/o commerciale e/o comunque del recapito presso gli spazi oggetto del presente contratto.
Da parte sua il Cliente avrà facoltà di risolvere di diritto il contratto sempre ai sensi dell’art. 1456 c.c. nei seguenti casi di inadempimenti o fatti imputabili a Fiera Bolzano:
a. ingiustificata mancata messa a disposizione dei locali convenuti;
b. rifiuto ingiustificato a prestare i servizi indicati nell’ ordine delle presenti Condizioni Generali.
La dichiarazione di cui ai punti precedenti dovrà essere comunicata alla parte inadempiente, per Fiera Bolzano all’indirizzo email startbase@fieramesse.it , per il Cliente, all’indirizzo email con il quale egli si è registrato all’atto della prenotazione del servizio.
Art. 11 Disciplina in caso di scioglimento, cessazione o risoluzione del contratto.
In caso di scioglimento, cessazione o risoluzione del contratto il Cliente è obbligato a liberare la propria postazione di lavoro da persone, beni accessori o documenti di sua competenza o proprietà, nonché restituire ogni oggetto di Fiera Bolzano nello stato in cui è stato ricevuto. Se ciò non avviene tempestivamente, Fiera Bolzano è autorizzata a liberare la postazione di lavoro da beni e cose con addebito al Cliente delle relative spese di deposito. Trascorsi non più di 90 giorni dalla cessazione o risoluzione del contratto, il Cliente perde il diritto di restituzione dei beni, con esplicita rinuncia a far valere qualsiasi pretese nei confronti di Fiera Bolzano ad ottenere rimborsi/o risarcimenti.
Art. 12 Esenzione di responsabilità.
Le seguenti disposizioni di esenzione di responsabilità operano a favore di Fiera Bolzano ogniqualvolta non è ad esso attribuibile alcun comportamento doloso o gravemente colposo.
a. Fermo restando quanto sopra all’Art. 6 del presente contratto, il Cliente esplicitamente dichiara di accettare che il contratto non include la custodia di beni, apparecchiature, documenti, titoli, valori e quanto altro, e esonera Fiera Bolzano da ogni responsabilità nel caso di effrazioni, furti, scassi, rapine, incendi o di qualsiasi altro genere, rinunciando espressamente a qualsiasi pretesa di risarcimento dei danni.
b. Inoltre, Fiera Bolzano è sollevata da qualsivoglia responsabilità per eventuali disfunzioni, inconvenienti e/o interruzioni di servizi derivanti da fornitori terzi ed utenze.
c. Il Cliente esime Fiera Bolzano da qualsiasi responsabilità in merito a danni causatigli da Fiera Bolzano nel ritirare comunicazioni inviate a mezzo posta, ivi comprese raccomandate, nonché atti giudiziari, fiscali, legali, e qualsiasi altro materiale indirizzati al Cliente stesso.
d. Il Cliente si obbliga perciò a tenere Fiera Bolzano manlevato e indenne da qualsiasi responsabilità di carattere civile, penale, amministrativo, fiscale e da qualsiasi altro carico o gravame che dovesse determinarsi in capo a Fiera Bolzano stesso in conseguenza delle attività del Cliente o da fatti imputabili a lui e/o ai suoi dipendenti, collaboratori e/o clienti.
e. Il Cliente si assume ogni responsabilità per gli effetti conseguenti all’inesatta comunicazione della sede legale così come per la mancata comunicazione della sua variazione.
f. Il Cliente è pienamente responsabile per eventuali danni arrecati allo spazio di lavoro, agli arredi, impianti e servizi, da lui o altri utilizzatori del suo spazio di lavoro.
g. Infine, il Cliente esime Fiera Bolzano da ogni violazione della riservatezza posta in essere da terzi o altri clienti operanti presso Startbase Fieramesse, ed è quindi pienamente responsabile a porre in essere egli stesso tutte le misure tecniche ed organizzative atte a tutelare i propri dati personali e riservati.
Art. 13 Risoluzione delle controversie e legge applicabile.
Le parti sottoporranno le controversie derivanti dal presente contratto o collegate ad esso al giudizio del Foro di Bolzano. Ai fini di tutte le notifiche previste dalle presenti condizioni generali, il Cliente elegge domicilio presso la sede di Startbase Fieramesse in cui tiene almeno una postazione di lavoro.
Art. 14 Regime Fiscale.
Il Cliente prende atto che i corrispettivi di cui al presente contratto sono assoggettati all’IVA secondo le disposizioni di legge e che il presente contratto non è soggetto a registrazione.
Tutti gli oneri relativi al presente contratto, ivi compresi quelli di natura fiscale, sono a carico del cliente.

ALLGEMEINE VERTRAGSBESTIMMUNGEN FÜR DIE DIENSTLEISTUNG STARTBASE FIERAMESSE
der Gesellschaft Messe Bozen AG (auch „Messe Bozen“), Sitz in 39100 Bozen, Messeplatz 1, MwSt.-Nr. 00098110216, rechtlich vertreten durch den Direktor, Dr. Thomas Mur.
ES WIRD VORAUSGESCHICKT,
dass Messe Bozen die Dienstleistung „Startbase FieraMesse“ anbietet;
dass Messe Bozen über eine dafür geeignete Räumlichkeit in der Baueinheit C.C. 652, P.ed. 3988, Sub. 12 im Dienstleistungszentrum der Messe Bozen, Ebene 0, am Messeplatz 1 in 39100 Bozen verfügt, wo sie Dienstleistungen, die mit der Benutzung von Büros, Arbeitstischen und Sitzungssaal in einem Gemeinschaftsraum (sog. „Coworking“) zusammenhängen, und in der verschiedenen beruflichen Tätigkeiten ausgeübt werden können;
dass die obengenannten Dienstleistungen Freiberuflern, Organisationen, Verbänden und Firmen angeboten werden;
dass der jeweilige betroffene Interessent (auch “Kunde“) diese Dienstleistungen für seine berufliche Tätigkeit nutzt, für eine gewisse Zeit und zu den folgenden Bedingungen.
Art. 1 Voraussetzungen.
Die Voraussetzungen stellen einen wichtigen und unersetzlichen Bestandteil dieses Vertrages dar.
Art. 2 Beschreibung und Preisprofile der Dienstleistungen.

*Der Meeting Room (maximale Kapazität 8 Personen) darf nur auf Bestellung und wenn verfügbar benutzt werden, auch von Kunden, die der Startbase-Community der IDM gehören. Zusätzliche Stunden zu denjenigen, die von den Preisprofilen vorgesehen sind, sind nur im Internet unter http://fieramesse.startbase.it und gegen Bezahlung (€ 15/pro Stunde) buchbar. Die maximale Dauer einer einzelnen Bestellung sind 3 Stunden am Tag. Messe Bozen hält sich das Recht vor, jeder Zeit den Meeting Room vorläufig zu sperren, besonders wenn ein Kunde dieses als Büro verwenden sollte.
**Jeder Kunde darf maximal jeden Tag 50 Seiten kopieren bzw. drucken.
***Um die Dienstleistung zu nutzen, wird jeder Kunde ein eigenes Profil mit Login und Password erhalten (gegen das Vorzeigen einer Identitätskarte).
Strom, Heizung, Klima, WC, Kitchen und Reinigung sind in allen Preisprofile inklusive: Der Parkplatz ist außerhalb der Messezeiten frei, während der Messezeit kostet er € 1,5/St. Es stehen Sicherheitsfächer zur Verfügung solange der Vorrat reicht.
Dieser Dienstleistungsvertrag zwischen Messe Bozen und dem Kunden gilt mittels der Registrierung des Kunden auf der Internet Seite http://fieramesse.startbase.it und der verbindlichen Auswahl eines Preisprofiles im Cobot System als abgeschlossen. Messe Bozen muss dem Kunden aber zusätzlich noch eine ausdrückliche Auftragsbestätigung erteilen. Diese Registrierung bringt für den Kunde die Einschreibung in die Community Startbase Alto Adige-Südtirol (von der IDM Südtirol Alto Adige koordiniert) als „Startbase Member“ mit sich.
Art. 3 Dienstleistungspreis und Zahlungsbedingungen.
Die Voraussetzung für die Belegung der ausgewählten Arbeitsposition bzw. des Dienstleistungsprofils auf der Internet Seite http://fieramesse.startbase.it mittels des Cobot-Systems ist die vollständige Zahlung des fälligen Betrages (für die Profile FixDeskLarge und FixDesk der Betrag für den ersten Monat bzw. für die Profile Wilddesk, Flexdesk und Meeting Room der volle Betrag) während der Online-Registrierung. Eine nicht erfolgte Zahlung gilt als Verzicht und berechtigt Messe Bozen, über die entsprechenden Arbeitspositionen bzw. Dienstleistungsprofile frei zu verfügen. Auch die Abholung der Schlüssel (Art.6) kann nur dann erfolgen, wenn die Zahlung erfolgt ist. Die Rechnung wird seitens Messe Bozen nach dem Eintreffen der Zahlung ausgestellt.
Für die Profile FixDesk Large und Fixdesk muss ab dem zweiten Monat jeder Monatsbetrag innerhalb des 5. Tages des jeweiligen Monats bezahlt werden. Nach Ablauf der Zahlungsfrist für den fälligen Betrag fallen gemäß Gesetzesverordnung Nr. 231 vom 9. Oktober 2002 Verzugszinsen an. Der Kunde ist zur Entrichtung des vereinbarten Entgelts unabhängig vom Bestehen etwaiger, den Vertrag betreffender Einwände oder Rechtsstreitigkeiten verpflichtet.
Art. 4 Dauer.
Die Dauer der Dienstleistung wird vom Kunden während der Registrierung (Art. 3) festgelegt, im Rahmen der Bedingungen von Messe Bozen und der Verfügbarkeit der Arbeitsplätze. Für die Profile FixDesk Large und Fixdesk ist die Mindestdauer 1 Monat (ab 28 bis 31 Tage, je nach Monat) und die Maximaldauer 12 Monate. Für das FlexDesk-Profil können Tageskarten, die mit dem Paket gekauft wurden, innerhalb von 12 Monaten nach dem Kauf verwendet werden.
Eventuelle Kündigungen müssen schriftlich mindestens 20 Tage vor dem Tag der Unterbrechung des Vertrages an die Gegenpartei zugesendet werden, ansonsten kann der Rücktritt vom Vertrag nicht mehr akzeptiert werden. Um eine geltende Kündigung zu tätigen, akzeptiert der Kunde auch eine Kündigung von Messe Bozen, welche an die Adresse, die während der Registrierung vom Kunden eingetragen worden ist (bzw. in einem zweiten Moment abgeändert), zugeschickt wird, anzunehmen.
Art. 5 Art des Vertrags und Vertragsgrund.
Die Parteien bestätigen, dass Sie beabsichtigen, einen Vertrag mit einheitlichem Vertragsgrund gemäß dem Muster laut Art. 1677 ZGB (Dienstleistungsvertrag) zu unterzeichnen.
Der Kunde nimmt zur Kenntnis, dass Messe Bozen AG ein Unternehmen ist, dessen Haupttätigkeit die Organisation von Messen und Veranstaltungen ist. Nebenbei, stellt Messe Bozen auch den im Artikel 2 beschriebenen Dienstleistungen zur Verfügung.
Die Tätigkeit der Messe Bozen in Bezug auf Startbase Fieramesse ist keine Vermittlungstätigkeit, und es wird ausgeschlossen, dass das bestehende Verhältnis als unselbstständige Arbeit eingestuft werden kann. In Anbetracht der Art der Dienstleistungen wird ebenfalls ausgeschlossen, dass das bestehende Rechtsverhältnis einem wenn auch atypischen Mietvertrag gleichgestellt werden kann, auch unter Berücksichtigung der Tatsache, dass das Recht auf Nutzung der Räumlichkeiten gewährt wird, um die damit verbundenen Dienstleistungen in Anspruch zu nehmen. Aufgrund der spezifischen Vertragsart bedarf dieser Vertrag keine Registrierung.
Art. 6 Nutzung der Dienstleistungen.
Der Kunde erklärt die Räumlichkeiten besucht zu haben (sowie die genaue Arbeitsposition, nur im Fall vom FixDesk- und FixDesk Large Profile), und sie für passend und zufriedenstellend zu halten.
Startbase Fieramesse ist mit einem Türschloss ausgestattet, der entsprechende Schlüssel darf ausschließlich vom Kunden in den Messebüros abgeholt werden, und nur nach der ersten Zahlung des zustehenden Betrages (siehe Art.2).
Die Startbase Räumlichkeiten sind für den Kunden im Rahmen der Bedingungen seines Preisprofiles von Montag bis Freitag, von 8:00 bis 20:00 Uhr zugänglich, ausgenommen an Samstagen, Sonntagen und an offiziellen Feiertagen (Messetage, die einen Feiertag einbeziehen, sind ausgenommen).
Die Unterstützung für die Dienstleistungen des Art. 2 von Seiten des Personals der Messe Bozen, sind nur zu den Bürozeiten der Messe Bozen garantiert. Die Bürozeiten sind von 9:00 bis 12:00 und 14:00 bis 17:00 Uhr von Montag bis Freitag. Der Kunde wird sich bezüglich der Betriebsurlaube informieren, die auf jeden Fall die offiziellen Feiertage einschließen.
Der Kunde verpflichtet sich, seine Büromaschinen und sonstigen Geräte oder solche, die ihm von der Startbase Fieramesse zur Verfügung gestellt wurden, während der Büroschließungszeiten ausgeschaltet zu lassen. Bei Verstoß gegen diese Vorschrift ist das Personal der Messe Bozen befugt, die Stromzufuhr zu unterbrechen.
Der Kunde verpflichtet sich den Sitzungsraum sowie die Kitchen nach dem Gebrauch sauber und aufgeräumt zu hinterlassen.
Dem Kunden ist es nicht gestattet, im Startbase Fieramesse Güter und Unterlagen von erheblichem Wert zu verwahren, wobei Messe Bozen diesbezüglich keine Haftung übernimmt.
Die Nutzung der Sicherheitsfächer ist für den Kunden frei und kann erfolgen solange Fächer zur Verfügung stehen; es besteht keine Reservierungsmöglichkeit. Der Kunde muss die Schlüssel und das Fach sorgfältig benutzen. Der Verlust des Schlüssels von Seiten des Kunden, bedeutet die Zahlung einer Geldstrafe von € 50,00 an Messe Bozen AG. Der Kunde hält Messe Bozen für jegliche Verantwortung von Objekten schadlos, welche in den Fächern eingeschlossen sind, sowohl was ihren Zustand betrifft, als auch im Fall von Diebstahl oder dem Besitz illegaler Substanzen oder Objekte.
Der Kunde darf, aus welchem Grund auch immer, seinen rechtlichen und/oder operativen und/oder geschäftlichen Sitz und/oder seine Anschrift nicht in den Räumlichkeiten, die Gegenstand dieses Vertrags sind, einrichten (wenn der Rechtsdomizil-Dienst nicht aktiviert ist).
Messe Bozen sammelt im Namen und auf Rechnung des Kunden keine per Post versandten Mitteilungen, einschließlich Einschreiben, gerichtlicher, steuerlicher und gesetzlicher Akte sowie sonstiger an den Kunden gerichteter Unterlagen (wenn der Rechtsdomizil-Dienst nicht aktiviert ist).
Rechtsdomizil: Dieser kann nur bei Verträgen mit mittlerer Laufzeit (> 6 Monate) aktiviert werden und kostet 50 Euro + MwSt. pro Monat.
Mit der Aktivierung des Dienstes kann der Kunde die Adresse "Piazza Fiera 1 - 39100 Bozen" für die Eintragung des Firmensitzes bei der Handelskammer, für die Meldung der Eröffnung des Firmensitzes beim Finanzamt, für den Empfang von Mitteilungen (Handels-, Steuer-, Rechnungen) per Post verwenden, die von Fiera Bolzano abgeholt werden und die der Kunde am Empfang abholen muss.
Die Direktion und das Servicepersonal der Messe Bozen behalten sich das Recht vor, alle Arbeitsbereiche und Büros (sowie die Sicherheitsfächer, von denen sie eine Kopie der Schlüssel besitzen) zu jeder Zeit zu betreten, um den Zustand der Räumlichkeiten zu prüfen und Reparaturen, Reinigungs- und Wartungsarbeiten durchzuführen.
Die Räumlichkeiten, die Dekorationen, die Einrichtung und die Anlagen der Startbase Fieramesse sind im exklusiven Besitz der Messe Bozen, müssen vom Kunden gewissenhaft gebraucht und gepflegt werden und nur zu Arbeitszwecken dienen. Jede Entfernung oder Beschädigung wird den Tätern in Rechnung gestellt.
Der Kunde verpflichtet sich, die Arbeitsplätze ausschließlich für Arbeitszwecke zu nutzen.
Der Kunde verpflichtet sich den Internetanschluss nicht für folgende Zwecke zu verwenden:
a. Die Zusendung von nicht genehmigten Werbeinformationen (z.B. Spam);
b. Illegale Multi-Level Marketing Kampagnen zu unternehmen, z.B. Schneeballsysteme;
c. Viren oder andere schädlichen Informationen bzw. Programme ins Internet zu laden;
d. Gewalthaltige, pornografische, bedrohliche oder aufhetzende Inhalte zu veröffentlichen;
e. Apps entwickeln oder verwalten (auch im Auftrag von Dritten) die sich mit Alkohol und Treffen für Erwachsene (inkl. Werbung) beschäftigen, ohne die Altersgrenzen explizit zu erklären;
f. Illegale, betrügerische, böswillige oder diskriminierende Zwecke verfolgen;
g. Tätigkeiten auszuüben, die das Funktionieren der Internetverbindung beeinträchtigen bzw. überlasten könnten;
h. Im Allgemeinen Zwecke anzustreben, die illegal sind oder den guten Ruf der Messe Bozen beeinträchtigen könnten.
Art. 7 Versicherung.
Nach vorheriger Genehmigung von Messe Bozen ist es dem Kunden gestattet, seine Geräte, PCs und Drucker an seinem Arbeitsplatz zu installieren. Brand- und Haftpflichtversicherung (wobei die Haftpflicht auch Schäden betreffend der Räumlichkeit Startbase FieraMesse und Messe Bozen betrifft) in Bezug auf die installierten Maschinen, Geräte, Ausrüstungen usw. gehen vollständig zulasten des Kunden.
Art. 8 Abtretungsverbot.
Die Parteien vereinbaren, dass die Erbringung der vertragsgegenständlichen Dienstleistungen ausschließlich dem Kunden, mit dem der Vertrag abgeschlossen wurde, vorbehalten ist. Der Kunde darf daher den Vertrag oder Teile davon sowie die entsprechenden Leistungen und/oder alle sonstigen daraus erwachsenden, damit verbundenen oder davon abhängigen Rechte, egal aus welchen Gründen, nicht an Dritte abtreten.
Art. 9 Vertraulichkeit.
Messe Bozen verpflichtet sich, keine Informationen über die Tätigkeit des Kunden zu verbreiten und möglichst so vorzugehen, dass maximale Vertraulichkeit gewährleistet wird. Dem Kunden ist bewusst und es wird von ihm ausdrücklich akzeptiert, dass es unter den gegebenen Voraussetzungen während der Arbeit durchaus möglich ist, dass er Kenntnis von vertraulichen Informationen anderer Kunden erlangen könnte bzw. andere Kunden Kenntnis von vertraulichen Informationen von ihm bekommen könnten.
Art. 10 Ausdrücklich vereinbarte Aufhebungsklausel.
Messe Bozen kann von diesem Vertrag gemäß Art. 1456 ZGB von Rechts wegen zurücktreten sowie bei Verstoß gegen das Abtretungsverbot und auch bei den folgenden Nichterfüllungen seitens des Kunden:
a. Unterlassung und/oder Weigerung, etwaige Änderungen betreffend Firma, Firmensitz und sonstige Daten mitzuteilen;
b. Ausübung irgendwelcher Tätigkeiten, die gegen gesetzliche/regulatorische Bestimmungen, den Anstand und die öffentliche Ordnung verstoßen oder in jedem Fall von denen abweichen, die angegeben wurden, oder die seitens der zuständigen Behörden vorgeworfen wurden und dem Image der Messe Bozen schaden könnten;
c. nicht autorisierte Einführung und Nutzung von eigenen Maschinen, Anlagen und Geräten/Ausstattungen/Ausrüstungen, die an die Versorgungsnetze angeschlossen sind;
d. Gefährdung der Startbase Fieramesse durch Pfändung und/oder sonstige gerichtliche Maßnahmen, wenn diese Zahlungsaufforderungen erhält und/oder gegen diese Vollstreckungsmaßnahmen eingeleitet werden, die auf Verschulden des Kunden beruhen;
e. die Verletzung des Abtretungsverbotes;
f. eine Verspätung von mehr als 5 Tagen der Zahlung des vereinbarten Preises (betrifft nicht die Zahlung während der Registrierung).
g. Angabe des Firmensitzes und/oder des Geschäftssitzes und/oder in jedem Fall der Adresse in den Räumlichkeiten, die Gegenstand dieses Vertrags sind.
Der Kunde hat wiederum das Recht, vom Vertrag bei folgenden Nichterfüllungen oder durch Verschulden der Messe Bozen gemäß Art. 1456 ZGB von Rechts wegen zurückzutreten:
a. ungerechtfertigte nicht erfolgte Bereitstellung der mit der Startbase Fieramesse vereinbarten Räume;
b. ungerechtfertigte Weigerung, die in diesen allgemeinen Vertragsbedingungen angegebenen Dienstleistungen zu erbringen.
Die Erklärung ist der nichterfüllenden Partei schriftlich mitzuteilen, für Messe Bozen an die E-Mail Adresse startbase@fieramesse.it , und für den Kunden an die Adresse, welche er während der Registrierung verwendet hat.
Art. 11 Prozedur im Fall von Ablauf, Auflösung oder Aufhebung des Vertrages.
Bei Ablauf des Vertrags oder falls dieser aus irgendwelchen Gründen seine Rechtswirksamkeit verliert, hat der Kunde den Arbeitsplatz unverzüglich frei von Personen und irgendwelchen Zusatzgütern oder Dokumenten, die in seinen Zuständigkeitsbereich fallen oder sein Eigentum sind, zu übergeben sowie alle Gegenstände der Startbase Fieramesse in dem Zustand, in dem er sie bekommen hat, zurückzugeben. Der Kunde haftet zudem für etwaige Schäden am Arbeitsbereich, dem Mobiliar, den Anlagen und Versorgungseinrichtungen.
Nach Ablauf von 90 Tagen Einlagerung verliert der Kunde sein Recht auf Rückgabe und verzichtet ausdrücklich darauf, irgendwelche Forderungen in Bezug auf Rückerstattungen oder Entschädigungen geltend zu machen.
Art. 12 Haftungsausschluss.
Folgende Bestimmungen zum Haftungsausschluss betreffen Messe Bozen sofern kein vorsätzliches bzw. nachlässiges Verhalten vorliegt.
a. Der Kunde akzeptiert ausdrücklich (wie bereits im Art. 6 erwähnt), dass der Vertrag nicht die Verwahrung von Gütern, Geräten, Urkunden, Wertpapieren, Wertgegenständen und Sonstigem beinhaltet, und enthebt die Messe Bozen von jeglicher Haftung bei Einbruch, Diebstahl, Raub, Brand oder Sonstigem und verzichtet ausdrücklich auf jegliche Schadensersatzforderung.
b. Zudem wird Messe Bozen jeglicher Haftung in Bezug auf etwaige Störungen, Fehler und/oder Unterbrechung von Dienstleistungen seitens Dritter und Versorgungsleistungen sowie etwaige andere Probleme infolge von höherer Gewalt, die sich ihrem Einfluss entziehen, enthoben.
c. Der Kunde befreit Messe Bozen von jeder Verantwortung bezüglich der Abholung von Postmitteilungen, Einschreibebriefen, Rechts- bzw. Steuerhandlungen und andere Mitteilungen, die an den Kunden adressiert sind.
d. Der Kunde verpflichtet sich Messe Bozen in Bezug auf jegliche zivil-, straf-, verwaltungs- und steuerrechtliche Haftung sowie hinsichtlich jeglicher sonstigen Belastungen und Auflagen, die infolge der Tätigkeiten des Kunden oder infolge von Vorfällen, die diesem, seinen freien, abhängigen Mitarbeitern und/oder seinen Kunden zuzuschreiben sind, entstehen sollten, schad- und klaglos zu halten.
e. Der Kunde übernimmt jegliche Haftung für die Folgen einer ungenauen Angabe des Firmensitzes sowie die nicht erfolgte Mitteilung einer Änderung und wählt in jedem Fall für die Vertragszwecke und alle damit verbundenen Mitteilungen die Zustellungsanschrift bei Startbase FieraMesse.
f. Der Kunde haftet in jedem Fall in vollem Umfang für etwaige Diebstähle und/oder Sach-/Personenschäden, die von ihm oder von Nutzern seines Arbeitsbereichs hervorgerufen wurden.
g. Der Kunde befreit Messe Bozen sowie die anderen Kunden von jeden Möglichen Verletzungen der Vertraulichkeitsverpflichtung, und ist daher bereit alle notwendigen Maßnahmen zum eigenen Daten-bzw. Informationenschutz anzuwenden.
Art. 13 Beilegung von Streitigkeiten und anwendbares Recht.
Für Streitigkeiten infolge dieses oder in Verbindung mit diesem Vertrag ist das Bozner Gericht zuständig.
Der Kunde akzeptiert, dass alle Mitteilungen, die mit diesem Vertrag verbunden sind, an die Startbase Fieramesse Adresse gesendet bzw. ausgehändigt werden.
Art. 14 Steuerliche Regelung.
Der Kunde nimmt zur Kenntnis, dass die vertragsgegenständlichen Vergütungen gemäß den gesetzlichen Bestimmungen mehrwertsteuerpflichtig sind und dass dieser Vertrag nicht registriert werden muss.
Alle Aufwendungen in Bezug auf diesen Vertrag einschließlich steuerlicher Art gehen zulasten des Kunden.

GENERAL TERMS AND CONDITIONS FOR THE FIERAMESSE STARTBASE SERVICE
of the company FIERA BOLZANO SPA (hereinafter also referred to as "Fiera Bolzano"), with registered office in 39100 Bolzano, Piazza Fiera 1, tax code and VAT number IT00098110216, in the person of Director Dr. Thomas Mur.
WHEREAS
that Fiera Bolzano operates the service "Startbase Fieramesse";
that Fiera Bolzano has a special space at the building unit C.C. 652, P.ed. 3988, Sub. 12 located on level 0 within the Service Centre of Fiera Bolzano in 39100 Bolzano, Piazza Fiera 1, where it provides services related to and connected with the use of offices and workstations in a common space ("coworking" mode), meeting rooms and other services functional to business and professional activities;
that these services are intended for individual professionals, organisations and associations, companies;
that it is in the interest from time to time of one of these subjects (hereinafter also "Client") to use the above-mentioned services for the performance of their professional activities, for a limited period of time, under the conditions indicated below.
Art. 1 Premises.
The premises form an integral and substantial part of this contract.

Electricity, heating, WC, kitchen, air conditioning and cleaning are included for all price profiles. Car parking on the roof of the exhibition hall is free of charge, while during trade fairs it costs 1.5 Euro per hour. Security lockers are available subject to availability.
This Contract for the provision of services between Fiera Bolzano and the Customer is concluded after the Customer has registered on the website https://fieramesse.startbase.it using the Cobot system and has made a binding choice of one of the above-mentioned Services, but in any case not before Fiera Bolzano has sent the Customer a separate order confirmation. Registration entails enrolment in the Startbase South Tyrol Community (coordinated by IDM Südtirol South Tyrol) as a Startbase Member.
Art. 3 Price of the service and method of payment.
Full payment of the amount due upon registration at https://fieramesse.startbase.it via the Cobot system - i.e. the amount of the first monthly instalment for the FixDeskLarge and FixDesk profiles and the full amount for the Wilddesk, FlexDesk and Meeting Room profiles - is a condition for access to the Startbase Fieramesse spaces and for the use of one or more workstations. Failure to pay in good time shall be regarded as a waiver and shall entitle Fiera Bolzano to dispose of the agreed workstation(s) immediately. The delivery of the key referred to in Art. 6 will also only take place following the timely payment of the agreed price. Invoicing by Fiera Bolzano will take place once payment has been made.
For each month after the first month for the FixDesk Large and FlexDesk profiles, the full price must be paid in advance by the 5th day of each month. If the deadline for payment of the amount due has expired unsuccessfully, default interest will be charged in accordance with Legislative Decree no. 231 of 9 October 2002. The Customer shall be obliged to pay the agreed consideration regardless of any objections and disputes relating to the contract.
Art. 4 Duration.
The duration of the service provision is chosen by the Customer at the time of registration as per Art. 3, within the limits set by Fiera Bolzano and subject to availability. For the FixDesk Large and FixDesk profiles, the minimum duration is 1 month (from 28 to 31 days, depending on the current month) and the maximum duration is 12 months. For the Flex Desk profile, day passes purchased with the scale package can be used within 12 months of purchase.
Written cancellations by both parties must be received at least 20 days prior to the intended termination date, otherwise the cancellation cannot be accepted. For the purpose of making a valid cancellation, the Customer accepts that any cancellation will be delivered to the e-mail address provided by the Customer at the time of registration (or as amended by the Customer subsequently).
Art. 5 Nature and cause of the contractual relationship.
The parties mutually acknowledge that they intend to enter into a contract with a unitary cause, according to the scheme governed by Art. 1677 of the Civil Code. (Service Contract).
The Customer acknowledges that Fiera Bolzano is a company whose main activity consists in organising exhibitions and events. Among the ancillary activities, it also provides, in return for payment, the series of services indicated in Art. 2 of this contract.
The activities of Fiera Bolzano in connection with the Startbase Fieramesse area do not qualify as intermediary activities, nor do they qualify as employment. Furthermore, in consideration of the nature of the services, the existing legal relationship cannot be qualified as a rental contract, even if atypical, also in consideration of the fact that the right to use the space is granted instrumentally in order to use the services provided by Fiera Bolzano. Due to the nature of the contractual relationship, this contract is not subject to registration.
Art. 6 Modalities and use of services
The Customer declares that he has visited the premises and the specific workstation (for FixDesk Large and FixDesk profiles only) and that he is satisfied with them.
Startbase Fieramesse is equipped with a lock. The relevant key can only be collected by the Customer from the offices of Fiera Bolzano after payment of the first fee as per Art. 2.
The Customer shall have free access to the Startbase area on the days selected according to profile and registration, from Monday to Friday from 8:00 a.m. to 8:00 p.m., excluding Saturdays, Sundays and official holidays. This does not include any public holidays that may be included in a certain event.
Assistance for the services mentioned in Art. 2 is guaranteed only on the days and during the opening hours of the Bolzano Fair offices. The office hours are 9 a.m. to 12 p.m. and 2 p.m. to 5 p.m., Monday to Friday. The Customer must inform Fiera Bolzano personally about the dates of the company closure, which in any case include all official holidays.
The Customer undertakes to leave the office machines and any devices provided by Fiera Bolzano or owned by the Customer switched off during the closing time. In the event of non-compliance, the personnel of Fiera Bolzano are authorised to interrupt the electricity supply.
The Client undertakes to leave the Meeting Room and the Kitchen area free and clear of objects after each use.
The Customer is not permitted to leave valuable goods and documents in the custody of Startbase Fieramesse.
The use of the security lockers is free of charge for the Customer and is subject to availability without reservation. The customer is obliged to keep the key and to use the locker with care. The loss of the key by the Customer entails the payment of a penalty of € 50.00 to Fiera Bolzano. The Customer releases Fiera Bolzano from any responsibility regarding the state of the material contained in the lockers, whether in the event of damage, theft or the introduction of illegal substances or objects into the lockers by the Customer.
The Customer may not, for any reason whatsoever, establish its legal and/or operational and/or business domicile and/or address in the premises that are the subject of this contract (if the legal domicile service is not activated).
Messe Bolzano does not collect, on behalf and for the account of the Client, notices sent by post, including registered letters, judicial, fiscal and legal acts and other documents addressed to the Client (if the legal domicile service is not activated).
Legal domicile: This can only be activated for contracts of medium duration (> 6 months) and costs 50 euros + VAT per month.
By activating the service, the Client can use the address "Piazza Fiera 1 - 39100 Bolzano" for the registration of the registered office with the Chamber of Commerce, for the notification of the opening of the registered office with the Tax Office, for the receipt of notifications (commercial, tax, invoices) by mail, which are collected by Fiera Bolzano and which the Client must collect at the reception desk.
Fiera Bolzano, through its the management and service personnel, reserves the right to access all the work spaces and offices at any time (including the security lockers, of which it has a copy) to check the state of the premises and to carry out controls, repairs, cleaning and maintenance.
The premises, furnishings to be used by the Customer are the exclusive property of Fiera Bolzano and must be used with the utmost diligence in view of their intended use and must not be removed, damaged or modified. Any damage will be charged to the person responsible.
The Customer undertakes not to use his workspace for purposes other than those agreed.
Finally, the Customer undertakes not to use the Internet access made available for the following purposes
a. publish unauthorised commercial communications (e.g. spam);
b. engage in illegal multi-level marketing actions, such as pyramid schemes;
c. upload viruses or other malicious code;
d. publish content that is threatening, pornographic, inciting hatred or violence or contains nudity or explicit or gratuitous images of violence;
e. develop or operate third-party apps with content relating to alcohol, dating services or otherwise aimed at an adult audience (including advertisements) without indicating appropriate age restrictions;
f. unlawful, deceptive, malicious or discriminatory purposes;
g. take any action that may impede, overload or impair the proper functioning of the Internet line;
h. in general, illegal purposes or purposes which damage the good name of Fiera Bolzano.
Art. 7 Insurance.
In any case, the Customer is obliged to ask Fiera Bolzano for authorisation before installing its own equipment, personal computers and printers in its work station. The obligation to provide insurance coverage for theft and fire risks and damages to the Customer and to third parties (including Fiera Bolzano itself in the concept of third party) deriving from the Customer's own machines, equipment, etc. is the full responsibility of the Customer.
Art. 8 Prohibition of transfer.
The parties agree that the provision of the services covered by the present contract is strictly reserved for the Customer, the owner of the contract. It is therefore forbidden for the Client to transfer to others, for any reason whatsoever, all or part of the contract and the related services and/or any rights arising from, connected with or dependent on the same.
Art. 9 Confidentiality.
Fiera Bolzano undertakes not to divulge in any way information concerning the Customer's activity and to operate in such a way as to guarantee, as far as possible, maximum confidentiality. Having said this, the Customer accepts and is aware of the fact that in a working environment in a common "coworking" space it is possible that he/she may become aware of confidential information of other customers, or that other customers may become aware of confidential information of the Customer.
Art. 10 Express termination clause.
Fiera Bolzano may terminate this contract without the need for any prior notice and with immediate effect for and for the following breaches attributable to the Customer (art. 1456 Civil Code):
a. the omission and/or refusal to communicate any changes relating to the information of name, registered office and further data;
b. the carrying out of activities contrary to laws, regulations, morality and public order, or in any case different from those declared or which may create discredit to the image of Fiera Bolzano contested by the competent Authorities;
c. the introduction and unauthorised, unauthorised use of machinery, plant and equipment belonging to it, connected to the service networks;
d. the exposure of Fiera Bolzano to the risk of seizure and/or any other legal action, in the event that the latter receives payment injunctions and/or is subject to executive actions for facts attributable to the Customer;
e. violation of the prohibition of assignment;
f. delay in payment of the price of the service for more than 5 working days with respect to the 5th day of each month (except for the first payment at the time of registration as per Art. 3).
g. indication of the registered and/or commercial office, and/or in any case of the address at the spaces covered by this contract.
For its part, the Customer has the right to rescind the contract by law, always in accordance with art. 1456 of the Civil Code, in the following cases of non-fulfilment or facts attributable to Fiera Bolzano
a. unjustified failure to make the agreed premises available;
b. unjustified refusal to provide the services indicated in the order of these General Conditions.
The declaration referred to in the previous points must be communicated to the defaulting party, for Fiera Bolzano at the e-mail address startbase@fieramesse.it , for the Customer at the e-mail address with which he registered when booking the service.
Art. 11 Regulations in the event of dissolution, termination or cancellation of the contract.
In the event of the dissolution, termination or cancellation of the contract, the Customer is obliged to free his/her workstation of people, accessories or documents belonging to him/her, as well as to return all items from Fiera Bolzano in the state in which they were received. If this does not take place in a timely manner, Fiera Bolzano is entitled to free the workstation from goods and objects, charging the Customer with the relevant storage costs. After no more than 90 days from the termination or cancellation of the contract, the Customer loses the right to return the goods, with the express waiver of any claims against Fiera Bolzano for reimbursement and/or compensation.
Art. 12 Exemption from liability
The following liability exemption provisions apply in favour of Bozen/Bolzano Fair whenever no wilful or grossly negligent conduct is attributable to it.
a. Without prejudice to what is stated above in Art. 6 of this contract, the Customer explicitly declares that he accepts that the contract does not include the custody of goods, equipment, documents, securities, valuables and anything else, and exonerates Fiera Bolzano from any responsibility in the case of break-ins, thefts, burglaries, robberies, fires or of any other kind, expressly renouncing any claim for compensation for damages.
b. Furthermore, Fiera Bolzano is relieved from any responsibility for any malfunctions, inconveniences and/or interruptions of services deriving from third party suppliers and users.
c. The Customer releases Fiera Bolzano from any responsibility for damages caused by Fiera Bolzano when collecting communications sent by post, including registered letters, as well as judicial, fiscal, legal documents and any other material addressed to the Customer.
d. The Customer therefore undertakes to indemnify and hold Fiera Bolzano harmless from any liability of a civil, penal, administrative, fiscal nature and from any other burden or encumbrance which may be incurred by Fiera Bolzano as a consequence of the Customer's activities or of facts attributable to the Customer and/or to his employees, collaborators and/or clients.
e. The Client assumes all responsibility for the effects resulting from the inaccurate communication of the registered office as well as from the failure to communicate its variation.
f. The Client is fully liable for any damage caused to the workspace, furniture, installations and services, by him or other users of his workspace.
g. Finally, the Customer releases Fiera Bolzano from any breach of confidentiality by third parties or other customers working at Startbase Fieramesse and is therefore fully responsible for taking all technical and organisational measures to protect its personal and confidential data.
Art. 13 Resolution of disputes and applicable law
The parties shall submit any disputes arising from this contract or related to it to the judgement of the Court of Bolzano. For the purposes of all notifications under these General Terms & Conditions, the Customer shall elect domicile at the Startbase Fieramesse location where it maintains at least one workstation.
Art. 14 Tax Regime
The Customer acknowledges that the fees referred to in this agreement are subject to VAT in accordance with the legal provisions and that this agreement is not subject to registration.
All charges relating to this contract, including those of a fiscal nature, shall be borne by the Customer.
